Sammendrag
Temaet for denne avhandlingen er bruken av SPV-Eiendomsselskap ved kjøp og salg av eiendom. Målet med oppgaven er å klargjøre hva som gjør denne handelsformen spesiell, samt hvilke utfordringer som er knyttet til den og om denne formen har påvirkning på den økonomiske aktiviteten innenfor bransjen.
Oppgaven tar i bruk både teoretiske og empiriske granskninger i sine tilnærminger til problemstillingen. Empirien bygger på fire intervjuer med informanter fra ulike deler av bransjen, med erfaring fra bruk av denne handelsformen.
Avhandlingen viser at det er knyttet utfordringer til bruken av SPV-Eiendomsselskaper i bransjen. Dette er utfordringer knyttet til blant annet verdivurdering, informasjonsuthenting og kontraktsutforming. Noe av dette har bakgrunn i at utviklingen av forretningskulturen innenfor bransjen, ikke har rukket å tilpasse seg det formelle institusjonelle rammene. I teorien skal dette påvirke den økonomiske aktiviteten innenfor bransjen, men grunnlaget for å fastslå dette sikkert vil være for dårlig da den økonomiske aktiviteten også er påvirket av andre ting. The topic of this thesis is the use of SPV(single purpose vehicles)-Real Estate Companies in trade of property. The aim of the exercise is to clarify what makes this particular form of exchange special, and the challenges associated with it is, and if this form has impact on economic activity in the industry.
The thesis uses both theoretical and empirical investigations in their approaches to the problem. The data is based on four interviews with informants from different parts of the business, with experience in the use of this form of trading.
The thesis shows that there are challenges related to the use of SPV-Real Estate Companies in the industry. These are challenges including valuation, information retrieval and contractdesign. Some of this is because the development of a business culture within the industry, have not had time to adapt to the formal institutional framework. In theory this should influence economic activity within the industry, but the basis for determining this surely will be too badly when considering the economic activity is also affected by other things.
